Fresh — Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Spotlight Crypto LLC (d/b/a Spotlight Labs), located at 224 W 35th St Ste 500 #2645, New York, NY 10001, USA ("Spotlight Labs," "we," "us") governing your use of the Fresh mobile app and related services (the "Service"). By downloading, creating an account, or using Fresh, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Fresh.

The Service is offered in the United States only and is directed to U.S. users.

2. Eligibility

You must be at least 17 years old to use Fresh (matching our App Store age rating). By using Fresh you represent that you meet this requirement and can form a binding contract.

3. Your account

• Sign-in is passwordless: you verify your email with a one-time code. You are responsible for keeping access to your email account secure, and for activity under your account.
• Provide accurate information (e.g. sizes, preferences) so the Service works as intended. You can update or delete this information in the app.
• You may delete your account and all associated data at any time via Profile → Delete Account, or by emailing support@spada.media. Deletion is handled as described in the Privacy Policy.

4. What Fresh does (and does not) do

• Fresh provides personalized outfit and product recommendations, a daily "Today's Fit," a taste-learning swipe experience, and the ability to save items and outfits. Recommendations are generated by automated systems and are offered for your convenience only. They are suggestions of style, not professional, medical, or financial advice.
• Buy links are outbound. When you tap "Buy," Fresh sends you to a third-party retailer's website to complete any purchase. We are not the seller, and we do not process those purchases. Prices, availability, sizing, descriptions, shipping, returns, and product quality are the retailer's responsibility, not ours. Catalog data may be out of date or contain errors; confirm all details on the retailer's site before buying.
• We may earn affiliate commissions when you purchase through some outbound links, at no extra cost to you.
• We may add, change, or remove features at any time.

5. Subscriptions, trials, and billing (auto-renewing)

Fresh offers an auto-renewing subscription ("Fresh Pro") purchased through Apple In-App Purchase. The plans are:

• Fresh Pro Annual — $39.99 / year, with a 7-day free trial for new subscribers.
• Fresh Pro Monthly — $5.99 / month, with a 7-day free trial for new subscribers.

The following terms are required and apply to all subscriptions:

• Payment is charged to your Apple ID account at confirmation of purchase.
• Auto-renewal: your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before the period ends.
• Free trial: the 7-day free trial is available to new subscribers only. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
• Manage / cancel: you manage and cancel your subscription in your Apple ID account settings (App Store → your account → Subscriptions), not inside Fresh. Deleting the app does not cancel a subscription.
• Refunds are handled by Apple under Apple's policies; we generally cannot issue App Store refunds directly.
• Price changes apply to future billing periods; where required, we or Apple will notify you and seek consent before a renewal at a higher price.

Subscription entitlements are verified through RevenueCat. Access to paid features depends on an active entitlement.

6. Acceptable use

You agree not to: (a) reverse-engineer, scrape, or overload the Service or its API; (b) resell or commercially exploit the Service or its catalog data; (c) use the Service unlawfully or to infringe others' rights; (d) upload content you have no right to upload; or (e) attempt to access other users' data or circumvent our security (including row-level access controls).

7. Intellectual property

The Fresh app, brand, design, software, and its recommendation systems are owned by Spotlight Labs and its licensors and are protected by law. Product images, brand names, and catalog data belong to the respective retailers and brands; they are displayed for shopping reference. We grant you a personal, non-transferable, revocable license to use Fresh for its intended purpose.

8. Third-party services

Fresh relies on and links to third parties (Apple, retailers, and the sub-processors listed in the Privacy Policy). Your use of those services is governed by their terms and policies. We are not responsible for third-party services or the content of retailer sites we link to.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that recommendations will suit you, that catalog data (prices, stock, sizing) is accurate or current, or that the Service will be uninterrupted or error-free.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTLIGHT LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR PURCHASES AT THIRD-PARTY RETAILERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SUBSCRIPTION IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold Spotlight Labs harmless from claims arising out of your misuse of the Service or violation of these Terms, to the extent permitted by law.

12. Termination

We may suspend or terminate your access if you violate these Terms or misuse the Service. You may stop using Fresh and delete your account at any time. Sections that by their nature should survive (IP, disclaimers, liability limits, governing law) survive termination.

13. Changes to these Terms

We may update these Terms. Material changes will be reflected by updating the "Last updated" date and, where appropriate, an in-app notice. Continued use after an update means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws rules. You and Spotlight Labs agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.

15. Apple-specific terms (App Store EULA)

If you obtained Fresh from the Apple App Store, Apple's standard Licensed Application End User License Agreement (EULA) also applies. These Terms are between you and Spotlight Labs, not Apple; Apple is not responsible for the Service or its support, but Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. (If you do not use a custom EULA in App Store Connect, Apple's default EULA governs; these Terms supplement it.)
